Florida Protected Series LLCs: What Sarasota, Manatee & Charlotte County Rental Property Owners Should Know

By John Michailidis, MSIRE, JD, Real Property Management of Sarasota & Manatee

Florida rental-property owners have a new ownership-structure topic to discuss with their attorney, CPA, insurance agent, and lender: the protected series LLC.

Effective July 1, 2026, Florida law permits certain LLCs to create one or more “protected series” within a parent LLC. For investors with rental homes, condos, or small multifamily properties in Sarasota, Manatee, and Charlotte Counties, this may be another way to organize assets and business activities.

It is not a one-size-fits-all solution. A protected series LLC should not replace appropriate insurance, careful property operations, or individualized legal, tax, and lending advice.

What Is a Protected Series LLC?

A protected series LLC is an LLC structure that can create separate divisions, known as protected series, under a single parent LLC.

In general, an owner may establish a parent LLC and then create protected series for different assets, groups of properties, or business activities. A protected series may have its own assets, liabilities, managers, members, business activities, and financial arrangements.

For example, an investor with multiple rental properties may ask their attorney whether it makes sense to have one parent LLC with separate series for particular properties or groups of properties.

That does not mean every rental property should be placed into its own protected series. The right approach depends on the property owner’s financing, insurance, tax position, ownership structure, partners, estate plan, and long-term investment goals.

Why Local Rental Owners May Be Interested

Owners with growing rental portfolios often look for ways to create better organization around their properties and investments.

Traditionally, some investors use one LLC for all properties, while others form separate LLCs for individual properties or groups of properties. Florida’s protected series LLC framework gives some owners another structure to evaluate with their professional advisors.

Potential reasons an investor may want to explore the concept include:

  • Organizing separate rental properties or business activities
  • Maintaining property-specific financial and operational records
  • Creating different ownership or management arrangements for individual investments
  • Evaluating whether a series structure may be more manageable than maintaining several standalone LLCs
  • Discussing whether liabilities associated with one series may be limited to the assets of that series when legal requirements are met

Because this is a newer Florida structure, owners should not make title, financing, insurance, or entity changes without advice specific to their portfolio.

Liability Separation Requires Disciplined Records

A protected series LLC is not simply a form filed with the State of Florida.

Potential liability separation depends on following applicable legal requirements and maintaining clear, accurate records. Those records must identify the assets and liabilities associated with the parent LLC and with each protected series.

For rental-property owners, the practical question is simple: Can you clearly show which property, income, expenses, contracts, and obligations belong to each entity or series?

Your attorney and CPA may recommend separate processes for items such as:

  • Bank accounts and accounting records
  • Rental-property titles and acquisition documents
  • Lease agreements and security-deposit records
  • Maintenance invoices, vendor agreements, and work orders
  • Insurance policies, claims, and named-insured designations
  • Loans, mortgages, guarantees, and lender approvals
  • Income, expenses, reserve balances, and owner distributions
  • Ownership, member, and manager records

A new entity structure does not reduce the need for strong operational discipline. If anything, a protected series structure may make accurate property-level documentation even more important.

Questions to Discuss With Your Advisors

Before creating a new LLC, converting an existing entity, transferring a rental-property title, or establishing a protected series, speak with qualified professionals about your specific circumstances.

  • Is a protected series LLC appropriate for the number and types of rental properties I own?
  • How could this affect existing mortgages, personal guarantees, loan covenants, or due-on-sale provisions?
  • Will my insurance coverage apply correctly to the parent LLC and each protected series?
  • How should property titles, leases, vendor agreements, utilities, and security deposits be handled?
  • Should individual properties or series maintain separate bank accounts and financial records?
  • Could this affect tax reporting, estate planning, succession planning, or the sale of a property?
  • What issues arise if I own property outside Florida or work with out-of-state lenders, insurers, residents, or vendors?
  • Would separate traditional LLCs be more practical for my investment portfolio?

The best structure is not necessarily the newest structure. It is the one that supports your investment goals while working with your financing, insurance, tax, legal, and operational requirements.

How Professional Property Management Helps

Entity formation and property management are different services, but both depend on organized operations.

No matter whether a rental owner uses an individual name, one LLC, multiple LLCs, or a protected series LLC, good property management requires clear and consistent records. Owners benefit from organized leases, rent records, maintenance histories, vendor documentation, resident communications, owner statements, and repeatable procedures.

Real Property Management of Sarasota & Manatee’s property management services help owners manage annual residential rentals throughout Sarasota, Manatee, and Charlotte Counties.

Our work focuses on the operational side of rental ownership, including:

  • Marketing and leasing
  • Tenant screening
  • Lease execution and resident communication
  • Rent collection and owner reporting
  • Maintenance coordination
  • Vendor documentation
  • Property evaluations and property-level operating records

We do not provide legal, tax, insurance, lending, or entity-formation services. However, once you and your advisors select an ownership structure, professional management can help support consistent property-level operations and documentation.

A Practical Next Step

If you own multiple rental properties—or plan to expand a rental portfolio in Sarasota, Manatee, or Charlotte County—consider adding Florida protected series LLCs to your next discussion with your attorney, CPA, insurance professional, and lender.

An entity structure is only one part of operating and protecting an investment property. Appropriate insurance, compliant lease practices, careful resident screening, preventive maintenance, accurate accounting, and organized records remain essential.

What is a Florida protected series LLC?

A Florida protected series LLC is an LLC that may create one or more protected series within a parent LLC. Each series may hold assets, incur liabilities, conduct business activities, and maintain its own management or ownership arrangements, subject to Florida law and the entity’s governing documents.

Does a protected series LLC automatically protect one rental property from liabilities related to another?

No. Potential liability separation depends on meeting applicable legal requirements and maintaining accurate records that clearly identify the assets and liabilities associated with each protected series. Creating a series alone does not guarantee complete protection.

Do I still need landlord insurance if I use a protected series LLC?

Yes. An ownership structure is not a replacement for landlord, liability, hazard, umbrella, or other appropriate insurance coverage. Ask a licensed insurance professional to review your policies, coverage limits, exclusions, and named-insured requirements before making entity or title changes.

Do protected series LLCs require separate bank accounts and accounting records?

Clear, separate records are an important part of the protected-series framework. The appropriate banking, bookkeeping, accounting, and tax processes depend on your situation. Consult your attorney and CPA about the controls and documentation your structure requires.

Can Real Property Management of Sarasota & Manatee form a protected series LLC for landlords?

No. Real Property Management of Sarasota & Manatee provides residential property-management services, not legal, tax, insurance, lending, or entity-formation services. We can help manage your rental-property operations after you and your professional advisors determine the right ownership structure. If requested, we are happy to make a referral to a legal/tax advisor, but the choice of who to use is ultimately yours and yours alone to make.
